TERMS AND CONDITIONS OF SERVICE

1. AGREEMENT TO TERMS
These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and January Health Company, a Delaware corporation ("January Health," "Company," "we," "us," or "our"). By creating an account, subscribing to any plan, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our services. We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of the services following such notification constitutes acceptance of the modified Terms.
You must be at least 18 years of age to use our services.
2. DESCRIPTION OF SERVICES
January Health provides a subscription-based virtual care coordination and wellness support platform for women navigating postpartum recovery (the "Services"). Our Services include:
1) Personalized Thrive Care Plans tailored to your delivery type, symptoms, goals, and risk factors
2) Virtual concierge support including care coordination, appointment navigation, referrals, and proactive outreach
3) Symptom and progress tracking tools accessible via web-based interface
4) Curated educational content and clinical reading materials
5) Specialist referral coordination and care navigation
6) A physical welcome kit including wellness products, a consumer blood pressure cuff, and fitness accessories (see Section 9a for applicable terms)
3. IMPORTANT MEDICAL DISCLAIMER
JANUARY HEALTH IS NOT A HEALTHCARE PROVIDER. Our Services constitute care coordination, wellness support, educational resources, and navigation assistance only. We do not provide medical diagnosis, medical treatment, or clinical care. Our Services are not a substitute for professional medical advice, diagnosis, or treatment from a licensed healthcare provider.
Members of our team who develop, review, or oversee care plan content — including any licensed clinical professionals engaged by January Health — do so in an editorial and quality oversight capacity only. They are not acting as your healthcare provider. No provider-patient relationship is created through your use of our Services, and nothing communicated by our team — including through care plan content, concierge support, or direct outreach — constitutes clinical advice, medical recommendations, or individualized clinical guidance.
The information and support provided through our platform is for informational and wellness purposes only. Always seek the advice of your physician, OB-GYN, midwife, or other qualified health provider with any questions regarding a medical condition.
If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not rely on our Services for emergency medical situations.
4. SUBSCRIPTION PLANS AND PRICING
4.1 Available Plans
January Health offers subscription-based service plans as described on our website at january.care. Plan features, pricing, and availability are subject to change. Current plan options and pricing will be displayed at the time of enrollment.
4.2 Minimum Commitment
All subscriptions require a minimum commitment of three (3) months from the date of initial enrollment (the "Minimum Commitment Period"). During the Minimum Commitment Period, you may not cancel your subscription and remain responsible for all applicable fees.
4.3 Billing
Subscription fees are billed in advance on a recurring basis, either monthly or as a lump sum for the Minimum Commitment Period, depending on the plan selected at enrollment. Payment is processed through our third-party payment processor. By subscribing, you authorize us to charge your designated payment method for all fees associated with your selected plan.
4.4 Price Changes
We reserve the right to adjust pricing for our Services. Any price changes will take effect at the start of the next billing cycle following thirty (30) days' written notice to you. Price changes will not apply during your Minimum Commitment Period.
5. CANCELLATION AND REFUND POLICY
5.1 Cancellation After Minimum Commitment
After the Minimum Commitment Period, you may cancel your subscription at any time by contacting us at support@january.care or through your account settings. Cancellation will take effect at the end of the current billing cycle. You will retain access to the Services through the end of your paid period.
5.2 No Refunds
Fees paid are non-refundable. No refunds or credits will be issued for partial billing periods, unused services, or periods where you did not access the platform. This includes fees paid during the Minimum Commitment Period.
5.3 Cancellation by January Health
We reserve the right to suspend or terminate your account and access to the Services at any time if you violate these Terms, engage in conduct that we determine, in our sole discretion, to be harmful, abusive, or disruptive. In the event of termination by us without cause, you will receive a pro-rated refund for any unused prepaid fees.
6. USER ACCOUNTS AND RESPONSIBILITIES
6.1 Account Registration
To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
6.2 Accuracy of Information
You agree to provide truthful and accurate health and personal information through our intake forms and ongoing assessments. The quality and relevance of our Services depend on the accuracy of the information you provide. January Health is not responsible for any adverse outcomes resulting from inaccurate, incomplete, or misleading information provided by you.
6.3 Prohibited Conduct
You agree not to:
1) Use the Services for any unlawful purpose or in violation of any applicable law or regulation
2) Share your account credentials with any third party
3) Attempt to gain unauthorized access to any part of the Services or to other accounts
4) Reproduce, distribute, or publicly display any content from the platform without our prior written consent
5) Use the Services to harass, abuse, or harm another person, including our staff and care team
6) Interfere with or disrupt the integrity or performance of the Services
7. INTELLECTUAL PROPERTY
All content, materials, features, and functionality of the Services, including but not limited to care plans, educational readings, text, graphics, logos, icons, software, and the compilation thereof, are the exclusive property of January Health or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and associated content for your personal, non-commercial use only. You may not copy, modify, distribute, sell, or lease any part of our Services or content.
8. PRIVACY AND DATA PROTECTION
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review this document carefully, as it describes how we collect, use, store, and protect your personal and health-related information.
By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.
9. THIRD-PARTY SERVICES AND REFERRALS
Our Services may include referrals to or coordination with third-party healthcare providers, wellness professionals, and service providers. January Health does not control, endorse, or assume responsibility for the services, products, or practices of any third party.
Any referral or recommendation made through our platform is for informational purposes only and does not constitute an endorsement, guarantee, or warranty of any kind. You are solely responsible for evaluating and selecting any third-party provider, and any relationship between you and such provider is independent of January Health.
Our platform may integrate with or link to third-party tools and services. Your use of such third-party services is subject to their respective terms and privacy policies.
9a. WELCOME KIT AND PHYSICAL PRODUCTS
As part of your subscription, January Health may provide you with a physical welcome kit at no additional charge. The welcome kit may include wellness products, a blood pressure cuff, resistance bands, and other items as determined by January Health from time to time. The following terms apply to all physical products provided as part of your subscription.
9a.1 Blood Pressure Cuff
The blood pressure cuff included in your welcome kit is a commercially available consumer health device manufactured by a third party. It is not a prescription medical device and is not manufactured, modified, or calibrated by January Health. January Health makes no representations or warranties regarding the accuracy, reliability, or fitness for any particular purpose of this device. You should not rely solely on readings from this device to make medical decisions. A printed disclaimer is included with your welcome kit and should be reviewed before use.
9a.2 Symptom Data Review
You may choose to log blood pressure readings and other health data through our symptom tracking tools. As part of our care coordination services, we may review submitted data and, where a submission falls outside general wellness ranges, we may reach out to suggest you follow up with your healthcare provider. This outreach is informational only. It does not constitute clinical monitoring, real-time health surveillance, medical diagnosis, or treatment, and does not create a provider-patient relationship. You should always consult your physician or other qualified healthcare provider regarding any health concerns, regardless of whether our team has contacted you about your submitted data.
9a.3 Other Included Products
Other products included in your welcome kit, such as wellness products (creams, topical products, or similar items) and fitness accessories (such as resistance bands), are provided for general wellness purposes only. Wellness products have not been evaluated by the Food and Drug Administration (FDA) and are not intended to diagnose, treat, cure, or prevent any disease. You are responsible for reviewing all product ingredients and labels before use and should consult your healthcare provider if you have known allergies, sensitivities, or medical conditions. For fitness products, consult your healthcare provider before beginning any exercise program, particularly during postpartum recovery. January Health is not the manufacturer of these products and is not responsible for adverse reactions or injury arising from their use. Inspect all products before use and discontinue use if any item appears damaged or defective.
9a.4 Shipping and Delivery
Welcome kits are shipped to the mailing address you provide at enrollment. You are responsible for providing an accurate shipping address. January Health is not responsible for kits lost or delayed due to incorrect address information, carrier errors, or circumstances beyond our control. Welcome kits are not available for individual resale or replacement. Physical products are provided as-is and are non-returnable unless defective upon receipt.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JANUARY HEALTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
1) Your use of or inability to use the Services
2) Any conduct or content of any third party on or related to the Services
3) Any referral, recommendation, or information obtained through the Services
4) Any health outcome, medical decision, or treatment decision made in connection with information or support received through the Services
5) Unauthorized access, use, or alteration of your transmissions or content
6) Any errors, omissions, or inaccuracies in educational content or care plan materials
7) Any injury, adverse reaction, or damage arising from the use of physical products provided as part of your welcome kit, including but not limited to the blood pressure cuff, wellness products, or fitness accessories
IN NO EVENT SHALL JANUARY HEALTH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO JANUARY HEALTH DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless January Health, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
1) Your use of the Services
2) Your violation of these Terms
3) Your violation of any rights of a third party
4) Any inaccurate or misleading information provided by you
12. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
JANUARY HEALTH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT MADE AVAILABLE THROUGH THE SERVICES.
13. DISPUTE RESOLUTION
13.1 Mandatory Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the formation, interpretation, breach, or termination thereof, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator and shall take place in the State of Delaware or, at your election, may be conducted remotely via videoconference.
13.2 Small Claims Court Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.
13.3 Class Action Waiver
YOU AND JANUARY HEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
13.4 Opt-Out
You may opt out of this arbitration provision by sending written notice to support@january.care within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of the arbitration provision.
14. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration under Section 13 shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
15. MODIFICATIONS TO SERVICES
January Health reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify you of material changes to the Services. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
16. COMMUNICATIONS
By creating an account, you consent to receive communications from January Health, including:
1) Service-related emails, including onboarding, care plan updates, weekly check-ins, and phase transition notifications
2) Administrative communications regarding your account, billing, and changes to these Terms
3) Health and wellness information relevant to your care plan
You may opt out of non-essential communications at any time. You may not opt out of service-critical or administrative communications while maintaining an active subscription.
17. TERMINATION
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
Sections 3 (Medical Disclaimer), 7 (Intellectual Property), 8 (Privacy), 10 (Limitation of Liability), 11 (Indemnification), 12 (Disclaimer of Warranties), 13 (Dispute Resolution), and 14 (Governing Law) shall survive termination of these Terms.
18. SEVERABILITY
If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.
19. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, constitute the entire agreement between you and January Health regarding the use of the Services. These Terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter hereof.
